Terms and Conditions for Project Development Services

1. Acceptance of Terms

By requesting, engaging, or making payment for our project development services (including but not limited to blockchain, NFT, AI, or advisory projects), you unconditionally agree to these Terms and Conditions. If you do not agree, you must not use our services.

2. Service Scope
   • We provide custom development services only as per the agreed written scope of work.
   • Any additional requests or modifications beyond the agreed scope will require a new written agreement and additional fees.
   • Shree BlockTech is a DPIIT-recognized startup (Certificate DIPP203379) and undertakes projects strictly on a professional basis.
3. Client Responsibilities
   • You must provide all required information, documents, approvals, and access before and during development without delay.
   • Failure to provide accurate, complete, or timely information will delay delivery and does not reduce agreed fees.
   • You acknowledge that unclear, incomplete, or changed requirements may result in additional charges and extended timelines.
4. Payment Terms
   • Work will not commence until an official written quote is accepted and initial payment (if required) is received.
   • Payment terms (milestones, advance, balance) will be clearly defined and must be honored without exception.
   • Non-payment or delayed payment entitles Shree BlockTech to suspend or terminate services immediately, and retain all deliverables until full payment is cleared.
   • All payments made are non-refundable unless explicitly agreed in writing.
5. Delivery and Timelines
   • All delivery dates and timelines provided by Shree BlockTech are estimates only and not binding commitments.
   • Project delivery may be delayed due to factors including, but not limited to, client delays, third-party dependencies, blockchain/network instability, technical challenges, or force majeure events.
   • Delays in delivery do not entitle the client to cancel the project, withhold payment, or claim damages.
   • Final deliverables will be provided once completed as per the agreed scope of work.
6. Deliverables and Ownership
   • Ownership of deliverables transfers to the client only upon full and final payment.
   • Pre-existing frameworks, tools, code libraries, or proprietary systems of Shree BlockTech remain our property and are only licensed for project use.
   • Unauthorized replication, resale, or reverse-engineering of our proprietary tools or methods is strictly prohibited.
7. Confidentiality
   • We maintain confidentiality of your project data, intellectual property, and sensitive information.
   • Confidentiality obligations do not apply to information already public, independently developed, or required by law to be disclosed.
8. Disclosure of Project Information
   • Shree BlockTech reserves the right to disclose basic, non-confidential details of completed projects (such as project type, technology stack, or a generic description) for its portfolio, case studies, or marketing purposes.
   • Sensitive details, including client identity, financial data, or proprietary strategies, will not be disclosed without prior written consent from the client.
   • The client also agrees not to make false, misleading, or defamatory public statements about Shree BlockTech. Any such action will result in immediate legal action.
9. Risk Disclaimer and Limitation of Liability
   • We deliver projects with professional diligence but provide no guarantees of performance, profitability, or outcomes once delivered.
   • Shree BlockTech shall not be liable for:
   • Failures or downtime of third-party services (blockchain networks, hosting, APIs, exchanges).
   • Cyberattacks, hacks, or force majeure events beyond our control.
   • Client misuse, negligence, or unauthorized modifications of deliverables.
   • Our maximum liability under any circumstance is limited to the total project fee paid by you.
10. No Free Work or Trial
    • All services are provided strictly on a paid professional basis.
    • We do not provide free work, unpaid trials, or speculative deliverables.
11. Termination
    • Either party may terminate a project with 7 days’ written notice.
    • In the event of termination:
    • You are liable for payment of all work completed up to termination.
    • Work not paid for remains the property of Shree BlockTech.
    • We reserve the right to immediately suspend or terminate services without notice in cases of non-payment, breach of terms, or misuse of our services.
12. Governing Law and Jurisdiction
    • These terms are governed exclusively by the laws of India.
    • Any disputes shall be resolved through binding arbitration in Coimbatore, Tamil Nadu.
    • You waive any rights to bring class actions or disputes in other jurisdictions.
